TERMS & CONDITIONS

Cloud Infrasys Technologies LLP.

Effective Date: 01-04-2026

1. Introduction

Welcome to Cloud Infrasys Technologies LLP. (“Company”, “we”, “our”, “us”).


These Terms & Conditions govern your use of our services including IT consulting, infrastructure setup, application development, AI solutions, manpower services, support, maintenance, and related offerings.


By engaging with our services, you agree to these Terms.

2. Scope of Services

We provide services including but not limited to:

  • IT infrastructure design, deployment, and management 
  • Application development and modernization 
  • Cloud solutions and migration 
  • Artificial Intelligence (AI) and automation services 
  • Technical manpower and staffing solutions 
  • Software licensing, sales, and installation 
  • Maintenance and support services 

Specific deliverables, timelines, and pricing will be defined in proposals, Statements of Work (SOW), or agreements shared with the client.

3. Commercial Terms & Payments

3.1 Pricing


All pricing will be defined in official proposals or contracts.


3.2 Payment Terms


  • Payments must be made as per agreed milestones or invoice terms 
  • Late payments may attract penalties or service suspension 


3.3 Taxes


All fees are exclusive of applicable taxes (GST or others), unless stated otherwise.

4. Client Responsibilities

The client agrees to:

  • Provide accurate requirements, data, and timely approvals 
  • Ensure access to systems, infrastructure, and stakeholders 
  • Maintain required licenses and third-party permissions 
  • Use delivered solutions in compliance with applicable laws

5. Change Management

Any change in scope, timeline, or requirements must be mutually agreed upon in writing.


Additional costs and revised timelines may apply.

6. Delivery & Acceptance

  • Deliverables will be shared as per agreed timelines 
  • Client must review and provide acceptance or feedback within a defined period 
  • Lack of response may be considered deemed acceptance 

7. Intellectual Property Rights

7.1 Pre-existing IP


Each party retains ownership of its pre-existing intellectual property.


7.2 Developed Solutions


Ownership of deliverables will be governed by the agreement/SOW:

  • Typically transferred upon full payment 
  • Company may retain rights to reusable components, frameworks, or tools

8. Confidentiality

Both parties agree to keep confidential information secure and not disclose it without prior consent, unless required by law. 

9. Data Protection & Security

We follow reasonable security practices and comply with applicable laws including the Digital Personal Data Protection Act, 2023.


Clients are responsible for ensuring lawful data usage and obtaining necessary consents.

10. Third-Party Services & Tools

We may integrate or recommend third-party tools (cloud platforms, APIs, etc.).


We are not liable for:


  • Third-party service failures 
  • Licensing issues 
  • Downtime or data loss caused by external providers

11. Warranty Disclaimer

  • Services are provided on a “best effort” and “as-is” basis 
  • No guarantee of uninterrupted or error-free operation 
  • AI/automation outputs may vary and require human validation

12. Limitation of Liability

To the maximum extent permitted by law:

  • Liability is limited to the total fees paid for the specific service 
  • We are not liable for indirect, incidental, or consequential damages

13. Indemnity

The client agrees to indemnify and hold harmless Cloud Infrasys Technologies against claims arising from:

  • Misuse of services 
  • Violation of laws or third-party rights 
  • Unauthorized use of delivered solutions 

14. Manpower / Staffing Services

 For manpower services:

  • Resources remain employees/contractors of Cloud Infrasys Technologies unless agreed otherwise 
  • Client must not directly hire resources during the contract or within a defined period without consent (buyout clause may apply) 
  • Work hours, responsibilities, and deliverables will be defined in agreement

15. Support & Maintenance

  • Support scope, SLA, and response time will be defined in agreements 
  • Support excludes issues caused by unauthorized changes or third-party failures

16. Termination

16.1 By Either Party


Either party may terminate with written notice as per agreement terms.


16.2 Immediate Termination


We may terminate services if:

  • Payment defaults occur 
  • There is misuse or breach of terms 


16.3 Effects of Termination


  • Outstanding payments become due immediately 
  • Access to services may be revoked 

17. Force Majeure

 Neither party shall be liable for failure due to events beyond reasonable control (natural disasters, cyberattacks, government actions, etc.). 

18. Governing Law & Jurisdiction

These Terms are governed by the laws of India.


All disputes shall be subject to the jurisdiction of courts in Mumbai, Maharashtra.

19. Dispute Resolution

Parties shall attempt to resolve disputes amicably. If unresolved, disputes may be referred to arbitration as per applicable laws. 

20. Amendments

We reserve the right to modify these Terms. Updates will be communicated or published on our website.
